These Terms and Conditions (these “Terms”) form a binding legal agreement between you and C.C.R.A. Capital LLC, doing business as Player Profit (“Player Profit,” “we,” “our,” or “us”). These Terms govern your access to and use of the Player Profit websites, applications, dashboards, and related services (collectively, the “Platform”), and your participation in any challenges, contests, or sweepstakes-style promotions made available through the Platform (collectively, “Promotions”).

PLEASE READ THESE TERMS CAREFULLY. THESE TERMS INCLUDE (1) A BINDING ARBITRATION AGREEMENT, (2) A WAIVER OF CLASS, COLLECTIVE, GROUP, CONSOLIDATED, COORDINATED, OR REPRESENTATIVE CLAIMS, AND (3) IMPORTANT LIMITATIONS ON OUR LIABILITY. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

1. DEFINITIONS

“Account” means your registered user account on the Platform.

“Gold Coins” means non-redeemable promotional coins used only to enter Gold Coin Challenges as described in Section 6.

“Profit Cash” means promotional credits that may be used to enter Profit Cash Challenges and, subject to eligibility, verification, and these Terms, may become eligible for redemption after meeting applicable playthrough and compliance requirements as described in Section 6.

“AMOE” means an alternative method of entry that does not require purchase, including mail-in entry, where offered for a Promotion.

“Excluded States” means jurisdictions where the Platform or a Promotion is not offered. Excluded States currently include California, Connecticut, Idaho, Louisiana, Michigan, Montana, Nevada, Iowa, New Jersey, and New York. We may update Excluded States at any time to comply with law.

“Promotion Rules” means the official rules, prize schedules, eligibility criteria, and entry instructions for a particular Promotion, including sweepstakes official rules, as posted or made available within the Platform.

2. ACCEPTANCE AND CHANGES

2.1 Acceptance. By creating an Account, clicking acceptance, or using the Platform, you confirm you have read, understand, and agree to be bound by these Terms and any Promotion Rules incorporated by reference.

2.2 Changes. We may modify these Terms at any time. We will post the updated Terms on the Platform and update the “Last Updated” date. Your continued use after changes become effective constitutes acceptance.

3. ELIGIBILITY; TERRITORIAL AVAILABILITY; VERIFICATION

3.1 Eligibility. You must be at least 18 years old (or older where required by law) and located in the United States in a jurisdiction where the Platform is offered.

3.2 Excluded States. The Platform and certain Promotions are void where prohibited and are not offered in Excluded States.

3.3 Identity and Location Verification. We may require identity verification, age verification, residency confirmation, and geolocation verification. You agree to provide accurate information and maintain it. Use of VPNs, proxies, or location-masking tools is prohibited.

4. THE PLATFORM IS NOT GAMBLING

Player Profit is not a casino, sportsbook, or gambling operator and does not accept or place wagers of any kind. The Platform does not facilitate betting. Promotions are intended for entertainment and promotional purposes, and any rewards are determined only as described in the applicable Promotion Rules.

5. ACCOUNT REGISTRATION AND SECURITY

5.1 Accurate Information. You must provide truthful, current, and complete information and keep it updated.

5.2 Security. You are responsible for safeguarding your login credentials and all activity on your Account.

5.3 One Account. Unless we approve otherwise in writing, you may maintain only one Account. Multiple Accounts, account sharing, or transferring Accounts is prohibited.

6. VIRTUAL ITEMS: GOLD COINS AND PROFIT CASH

6.1 Gold Coins. Gold Coins are promotional and have no cash value. Gold Coins cannot be redeemed for money or any cash equivalent. Gold Coins may be used only to enter Gold Coin Challenges as offered on the Platform, and may be awarded as prizes in Gold Coin Challenges as described in the Promotion Rules.

6.2 Profit Cash. Profit Cash is promotional. Profit Cash may be used to enter Profit Cash Challenges as offered on the Platform and may be awarded as prizes in Profit Cash Challenges as described in the Promotion Rules.

6.3 Redemption; No Guarantee. Profit Cash may become eligible for redemption for real money only if and when you satisfy all eligibility, verification, playthrough, and compliance requirements, and only to the extent permitted by law, these Terms, and the Promotion Rules. We may deny redemption if prohibited by law, if required verification fails, or if there is suspected fraud or abuse.

6.4 Playthrough Requirement. Profit Cash received as a bonus in connection with the purchase of Gold Coins is subject to a 1x playthrough requirement. This means the full amount of that bonus Profit Cash must be used to enter Profit Cash Challenges at least one time before it becomes eligible for redemption, unless otherwise stated in the Promotion Rules for a specific Promotion.

6.5 No Property Rights. Gold Coins and Profit Cash are limited, revocable, non-transferable promotional items. They do not constitute property, stored value, or an account balance in a financial institution.

6.6 Expiration; Forfeiture. We may impose expiration, inactivity, or forfeiture rules for Gold Coins or Profit Cash as disclosed in the Platform or Promotion Rules, to the extent permitted by law.

7. PURCHASES; PAYMENTS; REFUNDS

7.1 Purchases. You may purchase Gold Coin packages through approved payment methods. Any Profit Cash granted in connection with a purchase is a bonus and is not itself purchased.

7.2 Taxes and Fees. You are responsible for applicable taxes and third-party fees imposed by your payment provider.

7.3 Refund Policy. All sales are final unless required by law or expressly stated otherwise at the time of purchase. We may provide refunds or credits in our sole discretion in cases of confirmed duplicate charges or billing errors.

7.4 Chargebacks. Unauthorized chargebacks, payment reversals, or disputed payments may result in suspension or termination of your Account and forfeiture of promotional items and pending redemptions.

8. PROMOTIONS; OFFICIAL RULES; AMOE AND MAIL-IN ENTRY

8.1 Promotion Rules Control. Each Promotion is governed by its Promotion Rules. If there is a conflict between these Terms and the Promotion Rules for a specific Promotion, the Promotion Rules control for that Promotion.

8.2 No Purchase Necessary (Where Offered). Where a sweepstakes is offered, no purchase is necessary to enter or win. Purchase will not increase your chances of winning. An AMOE, including mail-in entry, will be provided as stated in the Promotion Rules.

8.3 Equal Treatment of AMOE. Eligible AMOE entries will be treated with equal dignity and will have the same chance of winning as entries received through any other method, as set forth in the applicable Promotion Rules.

8.4 Mail-In Processing. We may require mailed entries be postmarked by a stated deadline and received by a stated deadline. We may reject incomplete, illegible, or fraudulent entries, and we may limit entries per person or household as stated in the Promotion Rules.

9. PROHIBITED CONDUCT; FRAUD; COMPLIANCE

You may not: (a) violate any law; (b) attempt to access the Platform from an Excluded State; (c) use bots, scripts, automation, or scraping; (d) collude, manipulate, or exploit errors, delays, or loopholes; (e) engage in payment fraud, laundering, or abusive chargebacks; (f) submit false identity or eligibility information; (g) interfere with security or operations; or (h) engage in any conduct that undermines the integrity of Promotions. We may suspend or terminate Accounts and withhold, reverse, or seize promotional items or redemption amounts where we have a reasonable basis to believe prohibited conduct occurred.

10. REDEMPTION, HOLDS, AND INVESTIGATIONS

10.1 Holds. We may place temporary holds on redemption requests during investigations for up to thirty (30) days and may extend once for an additional thirty (30) days with written notice.

10.2 Withholding and Reversal. We may deny, reverse, or adjust redemption amounts if required by law, if a Promotion result is voided, if verification fails, or if prohibited conduct is reasonably suspected.

10.3 Appeals. If a redemption is denied, we will provide a brief explanation and a method to appeal through Support.

11. INTELLECTUAL PROPERTY; USER CONTENT

11.1 Our IP. The Platform, software, and content are owned by or licensed to Player Profit and protected by intellectual property laws.

11.2 Limited License. We grant you a personal, revocable, non-exclusive, non-transferable license to use the Platform for lawful purposes and in compliance with these Terms.

11.3 User Content License. If you submit content, you grant us a worldwide, non-exclusive, royalty-free license to host, use, display, reproduce, and create derivative works from that content for Platform operations, marketing, and Promotion administration.

12. THIRD-PARTY SERVICES

The Platform may link to or integrate third-party services. We do not control and are not responsible for third-party services. Your use is subject to their terms.

13. DISCLAIMERS; LIMITATION OF LIABILITY

13.1 No Warranties. The Platform is provided “as is” and “as available.” We disclaim all warranties to the fullest extent permitted by law.

13.2 No Guarantees. Past performance or historical results are not guarantees of future outcomes. We do not guarantee that you will win any Promotion or that any Profit Cash will become eligible for redemption.

13.3 Limitation. To the fullest extent permitted by law, our total liability arising out of or related to the Platform or these Terms will not exceed the greater of (a) the amounts you paid to us in the three (3) months preceding the event giving rise to the claim, or (b) $100.

14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Player Profit and its affiliates from claims arising from your use of the Platform, violation of these Terms, or violation of law.

15. TERMINATION

We may suspend or terminate your Account at any time for any reason, including suspected prohibited conduct. Upon termination, your license ends and you may forfeit promotional items and pending redemptions to the extent permitted by law.

16. PRIVACY; MARKETING; COMMUNICATIONS

Your use of the Platform is subject to our Privacy Policy. You consent to receive communications about your Account and Promotions. You may opt out of marketing communications, but transactional messages may still be sent.

17. GOVERNING LAW

These Terms are governed by Florida law, without regard to conflict of laws rules, except where federal law preempts.

18. DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER

18.1 Informal Resolution. Before filing a claim, you agree to contact Support to attempt to resolve the dispute.

18.2 Binding Arbitration. Except for small claims matters, disputes will be resolved by binding arbitration on an individual basis. The arbitrator may award relief only on an individual basis.

18.3 Class Action Waiver. You and Player Profit waive any right to participate in any class, collective, consolidated, coordinated, mass, or representative action.

18.4 Opt-Out. You may opt out of the arbitration agreement by sending written notice to 390 NE 191st St STE 79630, Miami, FL 33179 within 30 days of first accepting these Terms, as described in the arbitration procedure posted on the Platform.

19. MISCELLANEOUS

19.1 Severability. If any provision is unenforceable, the remainder remains in effect.

19.2 Assignment. You may not assign these Terms. We may assign them in connection with a merger, sale, or reorganization.

19.3 Entire Agreement. These Terms and the Privacy Policy and applicable Promotion Rules are the entire agreement regarding the Platform and Promotions.

Player Profit App Store Compliance Additions to Terms and Conditions

1. Apple No-Sponsorship Clause

No Apple Involvement

The Contests and any prizes or Performance-Based Rewards offered through the Platform are solely sponsored and administered by C.C.R.A. Capital LLC d/b/a Player Profit. Apple Inc. and its subsidiaries and affiliates are not sponsors of, participants in, or responsible for the Contests or any associated prizes, and are not involved in any way with the operation or administration of the Platform.

2. Profit Points Definition

Profit Points means a virtual contest entry credit used solely within the Platform to participate in skill-based Contests. Profit Points cannot be sold, transferred, or exchanged outside the Platform; and may only be used as described in these Terms and Conditions and the Contest Rules.

3. Official Rules Availability

Official Rules Within the App

Official Rules for each Contest are made available within the Platform, including within any iOS or other mobile applications, under a section labeled “Official Rules” or a similar title. These Official Rules include, at a minimum, eligibility requirements, how to enter, how winners are determined, the nature and value of any prizes or Performance-Based Rewards, Contest start and end dates, the identity of the sponsor, and a clear statement that Apple Inc. is not a sponsor of, or responsible for, the Contest.

4. No Guarantee of Results / Risk Disclosure

No Guarantee of Results

Participation in Contests involves risk. Past performance, historical results, marketing statements, or any other information available on the Platform are not guarantees of future outcomes. Player Profit does not guarantee that any Player will achieve profits, “risk-free” results, or any particular level of performance, earnings, or winnings. You should only Participate with amounts you can afford to spend and should not rely on the Platform, the Contests, or any related content as a source of guaranteed or risk-free income.

User Responsibility for Reviewing Rules and Policies

By creating an account or using the Platform, you agree that it is your sole responsibility to review, understand, and comply with all rules, restrictions, policies, instructions, and any other information made available by us on the Platform. This includes, without limitation, eligibility requirements, gameplay rules, payout rules, withdrawal restrictions, geolocation restrictions, contest terms, and any other procedures or conditions that may apply. Your continued use of the Platform confirms that you have read, understood, and accepted all applicable rules and policies, whether posted at registration, within any feature of the Platform, or updated at any later time.

You also acknowledge that failure to review the Platform’s rules, restrictions, or policies does not excuse noncompliance, and that we are not liable for any loss, rejection, error, or limitation arising from your lack of knowledge or failure to read or monitor updates.

VPN and Location-Masking Restriction

Any attempt to access or use the platform through a virtual private network (VPN), proxy, IP-masking tool, or any other method that obscures or alters a user’s true location is strictly prohibited. If VPN usage or any form of location manipulation is detected, the account will be immediately locked and permanently banned without notice. All balances, rewards, or pending payouts tied to the account may be forfeited at the platform’s discretion.

PLAYER PROFIT SWEEPSTAKES OFFICIAL RULES

Promotion Name: Player Profit Sweepstakes (the “Promotion”).

Sponsor: CCRA Capital d/b/a Player Profit (“Sponsor”).

Administrator (if any):

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED.

1. ELIGIBILITY

The Promotion is open only to legal residents of the United States who are at least eighteen (18) years old at the time of entry and who are physically located in an eligible jurisdiction when entering and participating.

The Promotion is not offered in the following states: California, Connecticut, Idaho, Louisiana, Michigan, Iowa, Montana, Nevada, New Jersey, and New York. Entries from these jurisdictions are void.

Employees, officers, directors, agents, and representatives of Sponsor, its affiliates, and their immediate family members and household members are not eligible.

2. PROMOTION PERIOD

The Promotion begins on January 1, 2026 at 12:00 AM Eastern Time and ends on December 31, 2026 at 11:59 PM Eastern Time (the “Promotion Period”). Sponsor’s computer is the official time-keeping device.

3. HOW TO ENTER

There are two (2) ways to receive Profit Cash entries, as described below. All entries must be received within the Promotion Period (subject to the mail receipt deadline in Section 3(b)).

Profit Cash is a sweepstakes promotional virtual currency used only to enter Profit Cash challenges on the Platform. Profit Cash has no purchase price, is not sold, and may be redeemed for prizes only as described in these Official Rules and the Platform Terms.

3(a) Bonus entry with Gold Coin package purchase. Create an account on the Platform and purchase a Gold Coin package during the Promotion Period. With the purchase, you will receive free Profit Cash as a promotional bonus in the amount disclosed on the purchase page at the time of purchase (the “Purchase Bonus”). Profit Cash received as a Purchase Bonus is subject to the 1x playthrough requirement described in Section 6 before becoming eligible for redemption.

3(b) Alternative Method of Entry (Mail-In AMOE). To receive the same amount of Profit Cash offered as a Purchase Bonus without making a purchase, handwrite on a 3x5 card (or a single sheet of paper) the following: (i) your full name, (ii) your complete mailing address, (iii) your email address associated with your Platform account, (iv) your date of birth (or a statement that you are 18+), (v) the statement “Player Profit Sweepstakes Mail-In Entry,” and (vi) the statement “I agree to the Official Rules,” followed by your signature and the date. Mail the card in a stamped envelope to:

Mail-in entries must be postmarked no later than December 31, 2026 and received no later than January 14, 2027 to be eligible. Upon validation, Sponsor will credit your account with Profit Cash in an amount equal to the applicable Purchase Bonus for a comparably priced Gold Coin package (as determined by Sponsor’s posted offers during the Promotion Period). Mail-in Profit Cash is not subject to any additional burden, reduced odds, or different treatment compared to Purchase Bonus Profit Cash, except for processing time.

Limit: One (1) mail-in request per person per day and thirty (30) total mail-in requests per person during the Promotion Period

4. ENTRY CONDITIONS, LIMITS, AND INTEGRITY

All entries must be submitted by an eligible individual. Entries that are incomplete, illegible, inaccurate, late, forged, mechanically reproduced, generated by script, or otherwise not in compliance are void.

One account per person. Sponsor may disqualify entrants using multiple accounts, addresses, identities, or devices to circumvent limits.

Sponsor may require additional verification of identity, eligibility, and location at any time. Sponsor’s determinations are final and binding.

5. PRIZES

Prize(s): Prize: Redemption of eligible Profit Cash for real money up to the amount credited via the applicable entry method, subject to Platform Terms. ARV: Varies by entry; maximum ARV per entrant not to exceed $500.

Prize limits and redemption: Any redemption is subject to the Platform Terms, identity verification, and Sponsor’s anti-fraud controls. Sponsor may substitute prizes of equal or greater value if necessary.

6. PROFIT CASH PLAYTHROUGH AND REDEMPTION ELIGIBILITY

Playthrough. Profit Cash awarded as a Purchase Bonus must be played through one (1) time in Profit Cash challenges before it becomes eligible for redemption.

Profit Cash obtained through Mail-In AMOE may be subject to a comparable anti-abuse playthrough or verification process that is applied in a consistent, non-discriminatory manner across entry methods to protect the integrity of the Promotion.

Redemption eligibility. Profit Cash is eligible for redemption only after (a) any applicable playthrough is satisfied, (b) the entrant passes identity verification, (c) the entrant is located in an eligible jurisdiction, and (d) the account is in good standing under the Platform Terms.

7. WINNER SELECTION AND ODDS

If the Promotion involves drawings for fixed prizes: Winners will be selected in random drawings from among all eligible entries received during the Promotion Period. Drawings will occur on or about [Drawing Date].

Odds of winning depend on the total number of eligible entries received.

If the Promotion involves challenge-based prize qualification: Profit Cash outcomes depend on performance in Profit Cash challenges as described in the Platform experience and subject to the Platform Terms.

8. WINNER NOTIFICATION AND VERIFICATION

Potential winners (if applicable) will be notified by email and/or through the Platform. Sponsor may require completion of an affidavit of eligibility, liability/publicity release (where lawful), and tax forms (including IRS Form W-9) before awarding any prize.

If a potential winner cannot be contacted, fails to respond within the time specified, or is found ineligible, the prize may be forfeited and awarded to an alternate.

9. TAXES

Winners are responsible for all federal, state, and local taxes associated with receiving a prize. Sponsor may issue tax reporting forms as required by law.

10. PUBLICITY

Except where prohibited, participation constitutes permission for Sponsor to use winner’s name, likeness, and hometown for promotional purposes without additional compensation.

11. RELEASE AND LIMITATIONS

By participating, entrants agree to release and hold harmless Sponsor, its affiliates, and their officers, directors, employees, agents, and representatives from any claim arising out of participation or prize receipt or use, except where prohibited by law.

Sponsor is not responsible for technical, hardware, software, or network failures; lost or delayed mail; or other issues beyond Sponsor’s reasonable control.

12. SPONSOR RIGHTS

Sponsor may disqualify any individual who tampers with the entry process, violates these Official Rules, or acts in an unsportsmanlike or disruptive manner.

Sponsor may suspend, modify, or terminate the Promotion if fraud, technical failures, or other factors impair integrity, as determined by Sponsor in its discretion. If terminated, Sponsor may award prizes (if applicable) from among eligible entries received prior to termination.

13. PRIVACY

Information collected in connection with the Promotion is subject to Sponsor’s privacy practices as described in the Platform Terms and privacy policy.

14. DISPUTES

These Official Rules are governed by Florida law, without regard to conflicts rules, except where federal law applies. Any dispute will be resolved pursuant to the dispute resolution provisions in the Platform Terms.
